TERMS OF SERVICE

These Terms of Service ("Agreement") govern your use of the software-as-a-service platform (the "Platform") provided by Piece Out Data LLC, a Washington company ("Company," "we," or "us"). By creating an account or accessing the Platform, you agree to be bound by this Agreement.

1. Eligibility and Access

The Platform is available to business users in the United States. You must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials.

2. Beta Access and Trial

We are currently offering a free beta period for select clients for a duration of three (3) months. After the beta phase, new users will receive a standard 30-day trial. We reserve the right to modify or terminate the beta or trial offerings at any time.

3. Subscription and Cancellation

Pricing will be published at the end of the beta period. All subscriptions will require a minimum 3-month cancellation notice period, which must be submitted in writing. No refunds will be issued for fees already paid.

4. Support

Support is provided via email from 9:00 AM EST to 5:00 PM PST, Monday through Friday. We aim to respond within two (2) business hours.

5. Use Restrictions

You agree not to:

1. Use the Platform for unlawful purposes;
2. Attempt to reverse-engineer, copy, or modify the software;
3. Interfere with the security or integrity of the Platform.

6. Data and Integrations

You acknowledge that the Platform may integrate with third-party transportation management systems (TMS). We are not responsible for data loss or failures caused by third-party systems or connections.

7. Intellectual Property

All intellectual property rights in the Platform are owned by [Your Company Name]. You receive a limited, non-transferable license to use the Platform during your active subscription period.

8. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted service or error-free operation.

9. Limitation of Liability

To the fullest extent permitted by law, our total liability shall not exceed the fees you have paid in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. Termination

We may suspend or terminate your access for breach of this Agreement or misuse of the Platform. Upon termination, your license to use the Platform will cease.

11. Governing Law

This Agreement is governed by the laws of the State of Washington.
